Two member firms of M&A International close transactions with three energy services firms on the same day

DALLAS and TORONTO, Sep. 3, 2014 – Capital Alliance, Dallas, (www.cadallas.com), a global mid-market investment banking firm, and Veracap M&A International (www.veracap.com) of Toronto, Canada, with offices in Calgary and Halifax, two M&A International firms, worked together to complete transactions with three privately-held energy services companies. The outcome of this complex transaction, which took more than a year to complete, was that the newly formed U.S. Shale Solutions of Houston acquired WPW of Leslieville, Alberta, Canada; Culberson Construction, Inc. of Granbury, TX, and J4 Fluid Services, Inc. of Victoria, TX.

U.S. Shale Solutions raised over $200 million, primarily through a 144A debt offering, to complete the transaction.

“Getting a single merger or acquisition deal closed for the shareholders of one privately-held company on a given day is usually considered difficult,” said Ed Dawson, Chairman of Capital Alliance. “But closing three deals with three different sets of selling shareholders on the same day is extremely rare. By the time the deal was completed, hundreds of people were involved.”
