Industrial Concepts, Inc. has been acquired by Heartland Steel Products

The Selling Company: Industrial Concepts, Inc. (ICI) is a leading provider of factory automation products and services to automotive and heavy machinery manufacturers in the United States. Based in Georgetown, Kentucky, the company has built a strong track record for delivering factory production solutions involving automated welding, power train assembly, and robotic material handling for companies including Toyota, BMW, John Deere, Volvo and Case New Holland.

Why the company was sold: The shareholders desired a transaction that would allow them to disengage from the company to pursue other challenges, and equip the company and its employees to continue a rapid pace of growth.

Capital Alliance’s Performance: Capital Alliance received expressions of interest from several strategic and financial buyers. Ultimately, the selected buyer made an offer that significantly exceeded the seller’s price expectations.

Terms of the Transaction: The transaction exceeded the target price of the shareholders by 200%, and included consideration of cash, contingent payments and a note guaranteed by the buyer. The sellers immediately transitioned to a consulting status and were able to step away from the day-to-day management of the company.

The Acquiring Company: Palm Ventures, the family office of Brad Palmer, is a private equity firm that has made significant investments in companies that are operating as profitable manufacturers in the United States. Palm Ventures also has investments in education, health care and oil & gas field services.
